Connected-Seller (Club) Terms

This is the public-facing version of the club terms. The binding version is executed (signed/accepted) by each Club's legal representative at onboarding, together with the Data Processing Agreement (DPA).
1. Purpose
These terms govern a Club's/association's use of Coffr ("Seller") to collect membership dues from its members. The Seller is onboarded as a connected seller with Viva.com and receives funds directly to its own bank account (IBAN).
2. Onboarding and verification (KYB)
Onboarding requires successful business identity verification (KYB) by Viva.com. The beneficial owner/controller is the president / legal representative / board of the association. The Seller must provide accurate, up-to-date information.
3. Permitted use — prohibited activities
The Seller uses the Platform solely for lawful collection of member dues/services. The following are expressly prohibited, among others: gambling, arms, MSB/PSP services, nuclear power, CBD/vaping/tobacco products, prescription pharmaceuticals, and any activity prohibited by Viva.com's terms or by law.
4. Liability allocation
The Seller bears full responsibility for delivering its service, for acts/omissions, for member complaints and disputes, and for the accuracy of what it publishes. Coffr is responsible only for the correct technical operation of the Platform and is not liable for financial losses arising from the Seller's activity. The Seller indemnifies Coffr against any third-party claim arising from breach of these terms.
5. Refunds, credit notes, and reversals
The Seller cooperates in handling refunds and disputes. Where a refund concerns an amount already settled to the Seller, that amount is recovered from the Seller (via reversal/recovery). The Seller maintains sufficient funds to cover refunds/reversals.
6. Platform fee
Coffr charges a per-transaction and/or subscription platform fee, as agreed from time to time. Viva.com's transaction fees apply per the Viva agreement.
7. Data protection
Processing of member data is governed by the Data Processing Agreement (DPA, GDPR Art. 28) executed at onboarding. Data does not flow before the DPA is signed. See also the Privacy Policy.
8. Term and termination
The agreement is of indefinite duration. Either party may terminate on reasonable notice. On breach or suspected misuse, Coffr or Viva.com may suspend the service immediately.
9. Governing law
Greek law applies; the courts of Athens have jurisdiction.
